Nominations and Remuneration Committee

The Board sits as the Nominations and Remuneration Committee. The Nominations Committee considers and makes recommendations annually on the membership of the Board and of the membership and Terms of Reference of its standing committees, and on such other related matters referred to it by the Board. The Nominations and Remuneration Committee also reviews and makes recommendations about Directors’ remuneration.

The Board sits as the Nominations and Remuneration Committee as and when required. The Nomination and Remuneration Committee when determining recommendations for appointments and reappointments to the Board will consider-

  1. Spread of knowledge, skills and expertise to ensure effective functioning of the Board;
  2. Including an appreciation of the values of MIT and the community’s needs related to MIT;
  3. Gender balance;
  4. Succession planning; and
  5. Board member suggestions;

And for reappointments

  1. Attendance records and performance
  2. Term not to exceed 6 years unless specifically agreed by a unanimous resolution of the Board.

Note: If a member is being considered for re-appointment to the Board of Directors, that member is ineligible to be a member of the Nominations and Remuneration Committee. Further, that member must abstain from voting on his or her re-appointment.

To assist the Nominations Committee a Register of Board Members’ Expertise and Skills will be maintained.
